Terms and Conditions of Sale - JB Sales Ltd.

  1. Applicability: These terms and conditions ("Terms") govern all sales of goods and/or services by JB Sales Ltd. ("Seller") to the purchaser ("Buyer"). By placing an order, the Buyer agrees to be bound by these Terms.
  2. Orders and Acceptance:
    • All orders are subject to acceptance by the Seller.
    • The Seller reserves the right to refuse or cancel any order for any reason.
  3. Prices:
    • Prices are as quoted by the Seller and are subject to change without notice.
    • Prices do not include applicable taxes, shipping, or other charges, which will be added to the invoice.
  4. Payment:
    • Payment terms are net 30 days from the invoice date unless otherwise agreed in writing.
    • Overdue payments may incur interest at a rate of 12% per annum, calculated daily on the outstanding balance.
    • The Buyer shall pay all costs of collection, including reasonable attorney's fees, incurred by the Seller in collecting overdue amounts.
  5. Delivery:
    • Delivery dates are estimates and not guaranteed.
    • The Seller shall not be liable for any delay or failure in delivery caused by events beyond its reasonable control.
  6. Risk of Loss:
    • The risk of loss or damage to the goods passes to the Buyer upon delivery.
  7. Warranties:
    • The Seller warrants that the goods are free from defects in material and workmanship under normal use for a period of 30 days from the date of delivery.
    • This warranty does not cover damage caused by misuse, abuse, neglect, or unauthorized modification.
  8. Return of Goods:
    • The Buyer may return goods within 30 days of the invoice date for a full refund, provided the goods are in their original packaging and in resalable condition.
    • Returns made after 30 days but within 60 days of the invoice date will be subject to a 20% restocking fee.
    • No returns will be accepted after 60 days of the invoice date.
  9. Limitation of Liability:
    • The Seller's liability for any claim arising out of or related to these Terms or the sale of goods shall not exceed the purchase price of the goods.
    • The Seller shall not be liable for any indirect, incidental, consequential, or special damages.
  10. Governing Law:
    • These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada.
  11. Dispute Resolution:
    • Any dispute arising out of or related to these Terms shall be resolved through binding arbitration in accordance with the laws of British Columbia, Canada.  
  12. Entire Agreement:
    • These Terms constitute the entire agreement between the parties and supersede all prior or contemporaneous communications and proposals, whether oral or written.
